Job Purpose & Responsibilities Job Purpose:
This generalist position provides legal support to the Americas Business Development and Projects teams as well as other SABIC business units and functions in the Americas across a broad range of business development and commercial legal activities including drafting and negotiating transaction documents , product risk management, reviewing marketing and promotional materials, handling pre-litigation disputes and issues, compliance, regulatory matters, antitrust advice, joint venture activities, real estate, corporate governance and providing day-to-day guidance and counsel to business leaders.
Close collaboration with Regional and Functional Counsel within the business unit or region as well as other regions, when required.
Provide proactive and effective legal support for key business activities related to M&A activities, joint ventures, and commercial transactions within the Americas and/or business unit in close collaboration with business development, sales or functional managers.
Serve as key member of business unit/functional leadership team in devising and implementing both short and long term business strategy in a manner that meets legal and compliance requirements
Provide advice and counsel to business unit leadership team on key legal developments impacting the Americas; recommend proactive solutions as required
Draft and negotiate contracts with complex provisions e.g., pricing, licensing, liquidated damages, performance bonds, limitations of liability, indemnities, tolling arrangements and take the lead in resolving issues connected with such contracts
Provides legal and compliance training and supports overall compliance initiatives to build and maintain a strong sustainable culture of compliance within the business unit.
Supports commercial claims or legal proceedings along with outside counsel or in-house litigation counsel.
Effectively supervise and manage cost of external legal support
Requirements Education & Training (degree, training, or certification required)
Law degree from a top law school with strong academic performance
Member in good standing of any state (or D.C.) bar
Minimum of five years relevant experience in commercial/transactional law, M&A or Energy Projects with a major law firm or Fortune 500 legal department
Significant experience leading all aspects of M&A transactions and greenfield projects
Experience negotiating and drafting complex transactional documents, including purchase and sale agreements, joint venture agreements, EPC agreements and Statements Of Work (SoWs)s and other commercial agreements
Antitrust competence and international experience a plus
Superior analytical and communications skills, both written and verbal
Sound business judgment, self-confident and proactive
Strong focus on compliance and integrity
Global cultural sensitivity and awareness
